These Terms govern your access to and use of the KYConnect identity verification, KYC, KYB, and AML compliance platform. Please read them carefully — by using the Services you agree to be bound by them.

You Own Your Data
You retain ownership of Customer Data; we process it only to deliver, secure, and support the Services.
Compliance Stays With You
You maintain your own licenses and AML program and make final approval and reporting decisions.
1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between you or the entity you represent ("Customer", "you") and KYConnect Inc. ("KYConnect", "we", "us") governing access to and use of our identity verification, KYC, KYB, and AML compliance platform, APIs, SDKs, dashboards, and related services (collectively, the "Services").
By creating an account, clicking to accept, or otherwise accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Definitions
"End User" means an individual or business that is the subject of a verification, screening, or onboarding workflow that you initiate through the Services.
"Customer Data" means data you or your End Users submit to the Services, including identity documents, biometric data, business records, and screening inputs.
"Verification Results" means the outputs we generate, including verification outcomes, risk scores, screening matches, and audit records.
3. Eligibility & Accounts
The Services are intended for business and professional use by entities that are legally permitted to perform identity verification and AML screening in their jurisdictions. The Services are not offered for personal, household, or consumer use.
You must provide accurate, current, and complete registration information and keep it updated. You are responsible for all activity under your account and for safeguarding API keys, credentials, and access tokens.
You must notify us promptly of any unauthorized access or suspected security incident affecting your account.
4. Description of Services
KYConnect provides configurable workflows for identity document verification, liveness and biometric face match, email and phone verification, AML and sanctions screening, PEP and adverse media checks, and business (KYB) due diligence including registry and beneficial-owner checks.
The Services are decision-support tools. Verification Results are provided to assist your own compliance determinations and do not constitute legal, regulatory, or credit advice, nor a guarantee of an End User's identity, legitimacy, or risk.
We may update, enhance, or modify features over time. We will not materially reduce the core functionality of a paid subscription during its term without notice.
5. Customer Obligations
You are solely responsible for your own regulatory compliance, including maintaining any licenses, registrations, and AML/CFT programs required for your business, and for making final onboarding, approval, and reporting decisions.
You must establish a lawful basis to collect and submit Customer Data, provide required notices to End Users, and obtain any consents necessary for biometric and identity processing under applicable law.
You must use Verification Results consistent with applicable anti-discrimination, consumer-protection, data-protection, and financial-crime laws.
6. Acceptable Use
You may not use the Services to violate any law; to harass, surveil, or harm any individual; or to process data of any person where you lack a lawful basis to do so.
You may not reverse engineer, scrape, resell, or build a competing service from the Services; circumvent usage limits or security controls; or submit malicious code or fraudulent, synthetic, or unlawfully obtained documents except as part of authorized testing.
You may not use the Services to make solely automated decisions producing legal or similarly significant effects on an End User without the human review and safeguards required by applicable law.
Prohibited Conduct
Misuse of the Services — including unlawful surveillance, processing data without a lawful basis, or circumventing security controls — may result in immediate suspension and is reported to authorities where required.
7. Fees & Payment
Fees are based on your selected plan, verification volumes, and any usage-based or add-on charges described at sign-up or in an order form. Unless stated otherwise, fees are quoted exclusive of taxes, which you are responsible for paying.
Charges are billed in advance for subscriptions and in arrears for metered usage. Payments are processed by our payment provider; you authorize recurring charges for the applicable billing cycle.
Late or failed payments may result in suspension. Except where required by law or expressly stated, fees are non-refundable and prepaid amounts are non-creditable.
8. Data Protection & Compliance
Our processing of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Addendum (DPA) in which we act as processor for Customer Data and you act as controller.
We maintain administrative, technical, and organizational safeguards designed to protect Customer Data, including encryption in transit and at rest, access controls, and monitoring, consistent with our Compliance program.
You remain responsible for the lawfulness of the Customer Data you submit and the instructions you provide.
9. Intellectual Property
We and our licensors retain all rights, title, and interest in the Services, including software, models, APIs, documentation, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription.
You retain ownership of Customer Data. You grant us a limited license to process Customer Data to provide, secure, and support the Services and to comply with law.
We may use aggregated and de-identified data that does not identify you or any End User to operate, analyze, and improve the Services.
10. Third-Party Services
The Services rely on third-party data sources, government registries, sanctions and watchlist providers, and infrastructure vendors. Availability and accuracy of such sources are outside our control.
If you integrate the Services with third-party products, your use of those products is governed by their own terms, and we are not responsible for them.
We are not liable for outcomes caused by inaccuracies, outages, or limitations in third-party data sources.
11. Service Levels & Support
We aim to provide a reliable, secure platform and will use commercially reasonable efforts to maintain availability. Specific uptime commitments and support response targets, if any, are set out in your plan or order form.
We may perform scheduled and emergency maintenance and will seek to minimize disruption to production workflows.
Support is provided through the channels described in your plan during stated business hours.
12. Warranties & Disclaimers
Except as expressly stated, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted or error-free, that Verification Results will be complete or accurate, or that the Services will detect all fraud, sanctions exposure, or illicit activity.
You are responsible for evaluating whether the Services meet your regulatory and operational requirements.
13. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or relating to these Terms.
Except for your payment obligations, your breach of the Acceptable Use section, or either party's indemnification obligations, each party's aggregate liability is limited to the fees you paid for the Services in the twelve months preceding the event giving rise to the claim.
These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, which may not apply to you.
Liability Cap
Subject to the exceptions stated, each party's aggregate liability is capped at the fees paid for the Services in the twelve months before the claim arose.
14. Indemnification
You will defend, indemnify, and hold harmless KYConnect from third-party claims arising out of your Customer Data, your use of the Services in violation of these Terms or applicable law, or your compliance decisions and notices to End Users.
We will defend, indemnify, and hold harmless Customer from third-party claims that the Services, as provided by us and used in accordance with these Terms, infringe that third party's intellectual property rights.
The indemnifying party's obligations are conditioned on prompt notice, reasonable cooperation, and sole control of the defense and settlement of the claim.
15. Term & Termination
These Terms apply for as long as you use the Services or have an active subscription. Either party may terminate for material breach not cured within 30 days of written notice.
We may suspend or terminate access immediately to protect the platform, comply with law, or address abuse, fraud, security, or non-payment.
On termination, your right to use the Services ends. We will make Customer Data available for export for a limited period and will then delete or anonymize it per our retention practices, except where retention is legally required.
16. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules, unless a mandatory law of your jurisdiction requires otherwise.
The parties will attempt in good faith to resolve disputes informally. Unresolved disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, unless binding arbitration is agreed in an order form.
Nothing prevents either party from seeking injunctive relief to protect its intellectual property or confidential information.
17. Changes to Terms
We may update these Terms to reflect changes in our Services, law, or business practices. Material changes will be communicated through product notices, email, or by updating the effective date.
Changes take effect on the stated effective date. Your continued use of the Services after that date constitutes acceptance of the revised Terms.
If you do not agree to revised Terms, you must stop using the Services before the effective date.
